End-User Licence Agreement

This End-User Licence Agreement ("Agreement") is between Chip Intel Links ("we", "us") and the business or person that installs or uses LinksERP ("you"). LinksERP is point-of-sale and business management software, including the desktop application, the Sync Service, the LinksERP API, the web and mobile apps, and any updates we provide (together, the "Software"). By installing or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

1. Licence

Subject to this Agreement and payment of the applicable fees, we grant you a non-exclusive, non-transferable licence to install and use the Software for your own business, on the number of computers, branches and users and with the modules stated in your licence. The licence is valid for the period stated in your licence or quotation.

2. Restrictions

You may not:

• copy, sell, rent, sublicense or distribute the Software, except for backup copies;
• reverse engineer, decompile or disassemble the Software, except where the law allows it despite this restriction;
• remove, bypass or tamper with licence keys, activation or other protection measures;
• use the Software for any unlawful purpose, or to process data you have no right to process.

3. Ownership

The Software is licensed, not sold. We and our licensors keep all rights, title and intellectual property in it. Your business data stays yours.

4. Your data and third-party services

The Software stores your data in a database that you or your administrator host. The Software can connect to third-party services that you choose to enable, such as QuickBooks Online, KRA eTIMS through a configured integrator, M-PESA, and email or SMS providers. Each connection is made with your authorisation, and you can disconnect it at any time. Your use of those services is governed by their own terms. We are not responsible for their availability, accuracy or charges. How we handle personal data is described in our Privacy Policy.

5. QuickBooks Online

If you connect QuickBooks Online, the Software sends the records you configure to your QuickBooks company. These can include sales, invoices, receipts, purchases, payments and journals. It can also read customers, suppliers, items and accounts from it. Access uses an authorisation you grant through Intuit, and you can revoke it from LinksERP or from your Intuit account. You remain responsible for reviewing the entries posted to your books.

6. Tax and compliance

The Software helps you meet obligations such as VAT and eTIMS invoicing. You remain responsible for your tax filings, for the correctness of the prices, tax codes and settings you enter, and for complying with the laws that apply to your business.

7. Updates and support

We may provide updates, fixes and new versions. Support, maintenance and hosting are provided as agreed in your licence or service agreement.

8. Warranty

We will use reasonable care and skill in providing the Software. Otherwise, to the extent the law allows, the Software is provided "as is". We do not warrant that it will be error-free or uninterrupted. You are responsible for keeping regular backups of your database.

9. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential loss, including loss of profit, revenue or data. Our total liability under this Agreement is limited to the licence fees you paid in the twelve months before the claim. Nothing in this Agreement limits liability that cannot be limited by law.

10. Termination

This licence ends automatically if you do not pay the applicable fees or you breach this Agreement and do not remedy the breach within 14 days of notice. When it ends, you must stop using the Software. You may still export your own data.

11. Governing law

This Agreement is governed by the laws of Kenya. The courts of Kenya have jurisdiction over any dispute arising from it.
